Terms of Use
These Terms of Use ("Agreement") constitute a legally binding agreement between TeachThis Limited, a company incorporated under Hong Kong laws, corporation number 2759016, ("TeachThis," "we," "us," or "our") and you ("Client" or "you"), an individual or legal entity, professional only, who accesses and uses the services provided by TeachThis through its website Teach-This.com ("Service").
By registering on the website Teach-This.com or using the Service, you acknowledge that you have read, understood, and agreed to the entirety of this Agreement. We strongly advise you to print or save a copy of these Terms of Use for your records.
1. Definitions
In this Agreement, capitalized words or phrases have the following meanings:
"Account" means the account created by the Client upon entering into this Agreement, which enables the Client to access and use the Service.
"Agreement" means the entire agreement between TeachThis Limited and the Client, consisting of these Terms of Use, the subscribed plan, the Privacy Policy, and any subsequent amendments or separate agreements entered into for the performance of the Service.
"Client" refers to the individual or legal entity, exclusively professionals, with whom TeachThis Limited has entered into this Agreement, and whose name and address are associated with the Account. The Client and TeachThis Limited are collectively referred to as the "Parties" or individually as a "Party".
“Content” refers to any data, whether personal or not, contained in the information processed through Teach-This by the User Processed Email sent by the Client to the Inbox(es) and processed through the TeachThis Solution.
"Documentation" refers to all documents that can be viewed, printed, sent, and/or downloaded in electronic form from the website, including any help pages that describe the functionalities of the Service and the TeachThis Solution.
“Personal Data” refers to any information relating to a natural person who is or can be identified, directly or indirectly.
"Service" refers to the granting of access to the TeachThis Solution by TeachThis Limited and the use of the TeachThis Solution, whether through the website https://www.teach-this.com or the TeachThis application, in accordance with the terms and conditions outlined in the Agreement.
"TeachThis Solution" refers to the TeachThis software and any related applications developed and published by TeachThis Limited.
2. Amendments
These Terms of Use may be amended from time to time. It is your responsibility to review this Agreement frequently and remain informed of any changes implemented. Your continued use of the Service after the publication of revised terms will constitute your acceptance of such changes.
3. Purpose of the Agreement
The purpose of this Agreement is to set out the conditions under which TeachThis Limited provides the Service to the Client. TeachThis Limited grants you a non-exclusive and non-transferable right to use the TeachThis Solution in exchange for the payment of fees and compliance with all requirements set out in this Agreement.
4. Refund Policy
TeachThis Limited maintains a strict no refund or exchange policy due to the digital nature of our Services. This policy applies to all memberships and downloads.
5. Terms
This Agreement becomes effective upon the creation of an Account by the Client and remains in effect until terminated by either party. The minimum duration of this Agreement depends on the duration of the subscribed plan chosen: three (3) months for a 3-month Subscribed Plan, six (6) months for a 6-month Subscribed Plan, and one (1) year for a 1-year Subscribed Plan
The 3-month, 6-month, and 1-year Subscribed Plans will automatically renew for successive periods of the same duration, unless terminated by either party. To terminate the Subscribed Plan, you must provide written notice to TeachThis Limited via the email address
Please note that TeachThis Limited will not refund any prepaid amounts for the Subscribed Plan. All Content and Parsed Content will be automatically deleted from the Service upon termination of the Subscribed Plan. However, TeachThis Limited may, at its sole discretion, offer a refund of the remaining Service period minus a $10 administrative fee upon termination of your Subscribed Plan. Please note that this does not guarantee a refund in all cases.
6. Intellectual Property
TeachThis Limited retains all rights, title, and interest in and to the TeachThis Solution, including all intellectual property rights. By using the Service, you acknowledge and agree that the TeachThis Solution and its contents are protected by copyright, trademark, and other laws.
You are granted a limited, non-exclusive, and non-transferable license to access and use the TeachThis Solution solely for your personal or internal business purposes. You may not modify, reproduce, distribute, create derivative works of, publicly display or perform, or in any way exploit the TeachThis Solution except as expressly authorized by TeachThis Limited.
7. User Obligations
By using the Service, you agree to comply with the following obligations:
a. You will provide accurate and up-to-date information during the registration process and throughout your use of the Service.
b. You will not use the Service for any illegal, unauthorized, or prohibited purposes.
c. You will not upload, post, or transmit any content that infringes upon the intellectual property rights or violates the privacy or rights of any third party.
d. You will not engage in any activity that could interfere with or disrupt the functionality of the Service.
e. You will be solely responsible for maintaining the confidentiality and security of your Account login credentials.
8. Limitation of Liability
To the maximum extent permitted by applicable law, TeachThis Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, regardless of the cause of action.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
10. Entire Agreement
This Agreement, including any attachments, constitutes the entire agreement between TeachThis Limited and the Client concerning the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
11. Termination
11.1 Either party may terminate this Agreement by providing written notice to the other party if:
a. The other party breaches any material provision of this Agreement and fails to remedy such breach within 30 days of receiving written notice specifying the breach; or
b. The other party becomes insolvent, bankrupt, or is subject to any similar proceedings.
11.2 Upon termination of this Agreement, your right to access and use the Service will immediately cease, and you must promptly discontinue all use of the TeachThis Solution. Termination will not relieve you of any payment obligations incurred prior to the effective date of termination.
12. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, or enforceability of the remaining provisions shall not in any way be affected or impaired.
13. Waiver
The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of its right to enforce such provision or any other provision in the future.
14. Assignment
You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of TeachThis Limited. TeachThis Limited may freely assign or transfer this Agreement, in whole or in part, without your consent.
15. Relationship of the Parties
Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, or employment relationship between the parties. The parties are independent contractors, and neither party has the authority to bind the other or incur any obligation on its behalf.
16. Force Majeure
TeachThis Limited shall not be liable for any failure or delay in the performance of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, labor disputes, natural disasters, or interruptions in internet services.
17. Survival
The provisions of Sections 6 (Intellectual Property Rights), 8 (Limitation of Liability), and 9 (Governing Law and Jurisdiction), as well as any other provisions that by their nature should survive termination, shall survive the termination or expiration of this Agreement.
18. Intellectual Property
TeachThis Limited retains all rights, title, and interest in and to the TeachThis Solution, including all intellectual property rights. The Client acknowledges that they do not acquire any ownership rights by using the Service.
The Client agrees not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content or intellectual property contained in the TeachThis Solution without the prior written consent of TeachThis Limited.
19. Confidentiality
The Parties acknowledge that during the term of this Agreement, confidential information may be disclosed between them. The Parties agree to keep such information confidential and not to disclose it to any third party without the express written consent of the disclosing Party.
20. Indemnification
The Client agrees to indemnify and hold TeachThis Limited and its affiliates, directors, officers, employees, and agents harmless from any claims, actions, proceedings, losses, damages, liabilities, costs, or expenses, including attorney's fees, arising out of or in connection with the Client's use of the Service or any violation of the Agreement.
